Your day to day
In this role you will support the SVP, Deputy Company Secretary and Head of Corporate Legal, the VP, Legal and Secretariat and the Senior Assistant Company Secretaries in providing and developing an excellent professional Company Secretarial service for the Group.
- Act as Secretary to and/or supervisor of subsidiary UK companies, involving direction and management of corporate structural transactions and changes, preparation of Board minutes, arrangement of meetings and preparation of accounts
- Preparation and support for UK subsidiary board and routine committee meetings and minutes, and any actions arising therefrom
- Preparation and review of subsidiary statutory accounts, and any actions arising therefrom
- Supervise, develop, update, and maintain Group-wide online corporate database (Diligent Entities)
- Responsibility for preparation and verification of sections and data for PLC Annual Report and Form 20-F and ancillaries and support co-ordination of Annual Report programme
- Assistance with preparation and delivery of PLC AGM and General Meetings
- Shareholder correspondence and liaison
- Preparation and release of electronic Company announcements and trading results to the London and New York Stock Exchanges and SEC
- Preparation of Board PLC Dividend papers and resolutions and supervision and oversight of dividend payment processes and the DRIP
- Supervision and maintenance of share capital records and processes, statutory registers and filings at Companies House
- Managing, developing, and maintaining Conflicts of Interest processes and register
- Maintenance of the Group Corporate Structure Chart, covering c.400 companies
- Advice on a wide range of issues, including company laws, stock exchange regulations, compliance with all relevant UK and US listing rules and general company secretariat advice
- Contribution to major corporate events and transactions e.g. capital returns and reorganisations, asset disposals and acquisitions
- Oversee, maintain, and develop library of professional manuals and databases for the department
What we need from you
- ICSA qualified (or equivalent)
- Legal qualification and experience an advantage
- At least 2 years’ experience of professional company secretarial work within a UK FTSE environment and/or current experience of company secretarial work either within the professions or a UK listed PLC
- Knowledge and experience of Diligent Entities (or equivalent) professional database
- Familiarity with share scheme and share registration processes
- Familiarity with Company law, UKLA, FCA, MAR and LSE rules
