We have an incredible opportunity to join us here at Phoenix Group as a Company Secretarial & Share Plans Assistant to join our Company Secretarial function.

The role

This is an exciting opportunity to play a key role in supporting the structure, framework and profile of the Company Secretarial function, enabling the function to be seen as a trusted voice in the business.

Key responsibilities will include:

  • Supporting the Share Plans Manager with their role to provide day-to -day support for the administration of the discretionary and all-employee share schemes.
  • Acting as Secretary to the PGH plc BIAC.
  • Core PLC compliance and company secretariat support. .
  • Responding to discretionary and all-employee share plan queries from current and ex-employees.
  • Supporting the Share Plans Manager with the grant and vesting of discretionary plans.
  • Supporting the Share Plans Manager with the SAYE invitation launch and maturity of the 3 and current 5 year plans.
  • Support the Share Plans Manager with improving employee engagement and communication of Share Plans. Draft and submit to the LSE monthly SIP announcements and ad hoc PDMR announcements.
  • Submit FCA notifications following such announcements.
  • Maintain the PDMR and PCA registers of share interests.
  • Responsible for updating the issued share capital spreadsheet for all discretionary and all-employee exercises and vestings filing relevant forms at the Registrar.
  • Assist, if requested, with drafting parts of the Governance and Directors Remuneration Reports for the Group’s Annual Report & Accounts.
  • Assisting the Deputy and Assistant Company Secretary with Group projects, as required.

What are we looking for?

  • High quality communication skills along with great stakeholder management skills, being able to influence and build lasting relationships at all levels across the business
  • Commercial acumen and a good understanding business opportunities and challenges.
  • A creative and dynamic thinker and you
  • Ready to take on qualification to become a certified company secretary or a newly qualified company secretary or solicitor.
  • Ideally you will have some Financial Services or other highly regulated industry experience.
