We are looking for a Contracts Manager to join our Vendor Management team. If you have experience drafting and negotiating indirect commercial contracts, then this may be the role for you! Qualified candidates will have 3 years' relevant experience working within the drafting, reviewing and negotiating of indirect, primarily IT and similar contracts and agreements, have a solid grasp of governance, privacy and security laws, risk management and compliance principles relevant to third party vendors. Familiarity with financial industry laws and regulations and/or similar highly regulated industry is preferred.
Job duties:

Draft and review indirect commercial contracts and agreements within specified timelines and in alignment with First Tech standards, leading contract negotiations as required

Draft and negotiate contractual provisions, including risk allocation, indemnification, business terms and limitations of liability, collaborating with leadership or internal counsel as appropriate

Assist in management of contract repository, ensuring consistency and best practices are followed

Manage contract renewals, amending and/or extending contracts as required

Partnering with business units to ensure vendor compliance with existing contract terms and conditions, escalating to leadership as appropriate
Essential skills:
-
Minimum 3 years’ experience in drafting and negotiating indirect commercial, primarily SaaS and similar contracts and agreements

Familiarity with the financial services industry, terminology, products and services is preferred

Solid grasp of governance, privacy and information security laws, risk management and compliance principles relevant to third party vendors

Familiarity with financial industry laws and regulations is preferred

Strong analytical and problem solving skills; ability to effectively resolve issues

Proven sound judgment, work ethic, and professional integrity with exceptional attention to detail

Ability to work autonomously to manage time effectively and prioritize work appropriately to meet deadlines

Strong business communication skills; able to write/speak clearly and professionally for a variety of audiences

Ability to negotiate effectively, including ability to clearly explain legal argument

Ability to foster strong relationships with internal and external stakeholders

Familiarity with contract management or ERP software is preferred

Strong knowledge of Microsoft Office Suite

Education: Bachelor’s degree is preferred

Target Compensation in Hillsboro, OR: $66,250 to $72,875 annually + annual bonus
Target Compensation in Rocklin, CA 95765: $72,875 to $80,162 annually + annual bonus
Target Compensation in San Jose, CA 95134: $82,812 to $91,093 annually + annual bonus
