Job Description

Hybrid 2-3 days per week onsite in Quedgeley
Salary up to circa £50K plus bonus and other superb benefits!

This is the perfect chance for you to broaden your legal skills and experience, providing a wide-range of support to the Legal Manager-UK, on company secretarial and general commercial legal matters. The geographic scope of the role will primarily be the UK, however due to the global nature of the business assistance with cross-jurisdictional matters may be required.

Specific Responsibilities
  • Company secretarial, entity management and corporate governance responsibilities for the Kohler UK entities, primarily using the Diligent software platform. Regularly required to work closely with the wider Legal team as well as the business Finance and Tax teams.
  • Maintaining of statutory registers and preparing Companies House filings together with the preparation of confirmation statements, board minutes, resolutions, agendas and accompanying memoranda.
  • Assisting the business and preparing the necessary documentation to support any group simplifications, dividends, director appointments/removals, bank mandates, POAs. This will include some cross-jurisdictional work in the EMEA region.
  • Support the Legal Manager-UK and UK businesses with a broad range of commercial matters to include drafting and reviewing commercial contracts (MSAs, Supply and Purchase Agreements, Service Agreements, terms and conditions, property leases, NDAs)
  • Assist with compliance related tasks including but not limited to Data Protection, Competition and Modern Slavery.
  • Support the Legal Manager-UK to resolve disputes and third-party claims made by or against the business, including instructing and liaising with various external parties and business stakeholders.
  • Managing ad-hoc queries from the business including conducting the necessary research, horizon scanning and advising the business accordingly.
  • Keeping abreast of proposed legislative changes and helping implement policies and procedures across the business to ensure compliance with any new legislation.
  • Regular use of the business ebilling platform, including setting up and managing matters through the platform alongside external counsel and the Legal Manager-UK.

Skills/Requirements

Essential
  • Law or Business based degree
  • Experience of providing Corporate Governance/Company Secretarial support within a law firm or in house company
  • Excellent attention to detail and the ability to manage multiple work streams and priorities.
  • Good interpersonal skills and verbal and written communication skills.
Desirable
  • Experience of commercial work within a law firm or in house company.
  • Knowledge / prior use of Blueprint OneWorld/Diligent software.
  • LPC, CILEX, CGI or ICSA qualified
